The governing bodies are responsible for CEOE’s organization and operation, as well as for conveying the specific proposals related to the defence of the Confederation’s interests to the Government, unions and other social organizations.

The chairman, elected every four years through the General Assembly’s vote, represents the Confederation and acts on its behalf with the limitations specified in the Articles of Association. His responsibilities include convening the General Assembly, the Board of Directors and the Executive Committee, acting as Chair and Director of the discussions; proposing to the Board of Directors the creation of specialized temporary Commissions, delegating his functions onto any of the vice-presidents or members of the Executive Committee, monitoring compliance with the Articles of Association or calling early elections.

 

Executive Committee

It is the permanent official acting body for CEOE’s governance, management, administration and operation. It is composed of the Chairman, the vice-chairman, the members elected by the Board and other well renowned individuals. There can be no more than four vice-chairman, and the chairman of Cepyme (Spanish Confederation of Small & Medium- Sized Enterprises) shall be an ex officio vice-chairman. The number of Committee members may not be lower than 40 or higher than 50, plus up to five individuals of renowned business and economic prestige appointed by the Executive Committee. The Executive Committee may exercise those functions conferred upon the Board of Directors by the Articles of Association, save for exceptions set forth in said Articles. It shall also be responsible for other specific functions related to the provisional admission of associated members, the membership to international organizations, setting the agenda for the Assembly or convening an Extraordinary General Meeting in the event of a censure motion against the Chairman.

 

Board of Directors

The Board of Directors is the official acting body for normal CEOE’s governance, management, administration and operation. It is composed of the Chairman and between 200 and 250 members representing the member organizations in the General Assembly. Its functions include directing the activities of the Confederation in the areas within their competence, providing whatever is necessary for the implementation of the resolutions of the General Assembly and proposing to the Assembly those representations that should be attributed to full members of the Confederation.

 

General Assembly

The General Assembly, in its plenary meeting, is the supreme governing and decision-making body of the Confederation. It is composed of all of the representatives of the full member organizations. The Articles provide the necessary requirements for allocating the number of representatives that correspond to each of the organizations. In addition, the Board of Directors, based on updated numbers, allocates a specific number of representatives to each of the full member organizations. It has exclusive functions such as the election of the Chairman, the amendment of the Articles of Association, approving or modifying CEOE’s Code of Ethics and Good Governance, approving actions plans and programs, approving CEOE’s budget and settlement, setting the fees for full members, approving the Annual Reports, agreeing on the removal of executive positions, adopting agreements to join or partner with other organizations of the same nature, or ratifying the admission of full members decided by the Board.
